These General Terms and Conditions (GTC) apply to all services provided by Gérard Fass, Hans-Thoma-Straße 4, 69121 Heidelberg, Germany, in the field of lighting design and technical lighting services for film, television, commercial, and event productions.
The services include, but are not limited to:
Orders must be placed in writing (email, fax, or letter). The contract is concluded when the order is confirmed by Gérard Fass. Verbal agreements require written confirmation to be legally binding.
All prices are quoted in Euro and are subject to the applicable statutory VAT. Prices are valid at the time of the offer and may be subject to change. Payment is due within 14 days of invoice date without deduction. In case of late payment, default interest of 5% above the base rate will be charged.
Delivery dates and performance deadlines are non-binding unless expressly agreed in writing as binding. Gérard Fass reserves the right to make partial deliveries. Force majeure events release both parties from their obligations for the duration of the event.
Gérard Fass is liable for damages caused by intent or gross negligence. For slight negligence, liability is limited to the foreseeable damage typical for the contract. The client is responsible for ensuring adequate insurance coverage for the production and equipment.
Equipment and materials provided remain the property of Gérard Fass until full payment is received. The client is responsible for the proper handling and return of all equipment in the same condition as received. Any damage or loss must be reported immediately and may result in additional charges.
Cancellations must be made in writing. Cancellation fees apply as follows: up to 7 days before the event: 25% of the agreed price; up to 3 days before the event: 50% of the agreed price; less than 3 days before the event: 100% of the agreed price. Both parties have the right to terminate the contract for good cause.
Both parties undertake to maintain confidentiality regarding business secrets and confidential information. Personal data will be processed in accordance with applicable data protection laws. The client consents to the processing of their data for contract fulfillment.
These terms and conditions are governed by German law. The place of jurisdiction is Heidelberg, Germany, unless mandatory legal provisions provide otherwise.
Should individual provisions of these terms and conditions be or become invalid, the validity of the remaining provisions shall not be affected. Invalid provisions shall be replaced by valid provisions that come closest to the economic purpose of the invalid provision.
